The Legal Duty of Disclosure in California

In California, one of the most common types of real estate dispute is a real estate fraud dispute involving a purchase and sale agreement.  We see these disputes throughout California both with commercial and residential sales.  Most fraud disputes arising out of a purchase and sale agreement arise from the seller’s affirmative disclosure obligations.  If a seller or their agent/broker fail to comply with their disclosure obligations or affirmatively misrepresent the true state of the property, this can lead to liability to the new buyer.

Laws on Real Estate Fraud

Generally, the seller in either a residential or commercial transaction has a duty to disclose known material defects regarding the property that may affect the value or the buyer’s decision on whether to buy the property.  The seller has different disclosure obligations depending on the type of property (single family, multi-unit or commercial) and the terms in the contract.  That said, the seller is never privileged to misrepresent the characteristics of the property.

Common Remedies for Real Estate Fraud

In California, the remedies for real estate fraud involve claims for money damages or possible rescission.  The Court/Jury will decide money damages based on the difference between the price the buyer paid and the price a fully informed buyer would have paid for the same piece of property. Rescission, in contract, is the remedy designed to restore the parties to their relative position had the sale never taken place.   Under either theory there are also additional money claims that complement the primary remedy.
